Terms of Service

These terms are the agreement between you and Resiboh when you use our app to turn orders into invoices. We kept them as short and clear as we could, so please take a few minutes to read them.

The short version

  • Resiboh has a Free plan with monthly limits. Optional Starter and Business subscriptions, bought in the iPhone app, raise the limits; Apple handles their billing, renewal and refunds.
  • Your data is yours. You're responsible for collecting your customers' details lawfully and with their consent where needed.
  • AI and text reading can make mistakes. Always check items, prices and totals before you send an invoice.
  • Invoices and receipts from Resiboh are not BIR-registered official receipts or sales invoices. Your taxes and BIR requirements are still your responsibility.
  • Use Resiboh honestly and legally. We may suspend accounts that break these rules.

Accepting these terms

These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME], [BUSINESS ADDRESS] ("Resiboh", "we", "us" or "our"). They cover your use of the Resiboh web app at app.resiboh.com, the Resiboh iPhone app, our website at resiboh.com, and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle personal data. If you don't agree, please don't use Resiboh.

Who can use Resiboh

To use Resiboh, you must:

  • be at least 18 years old;
  • be able to enter into a binding agreement; and
  • if you are using Resiboh for a business that isn't just yours personally, have the authority to accept these Terms on behalf of that business.

When you accept these Terms for a business, "you" means both you and that business.

Your account

You sign up with your name, email address and a password. You agree to:

  • give us accurate information and keep it up to date;
  • keep your password secret and not share your login with others;
  • be responsible for everything that happens under your account, including what people you give access to your business do in it; and
  • tell us right away at hello@resiboh.com if you think someone has used your account without permission.

We are not responsible for losses caused by someone using your password, unless that happened because of our own failure.

Staff accounts

A business owner can invite staff with an invite link. Staff use their own Resiboh account and can take orders and record payments for that business. They can't change settings, and what else they can see and do (such as products, reports and End of day) depends on the plan and on what the owner allows. The owner decides who joins, is responsible for what their staff do in Resiboh, and can remove staff at any time. Invite links are single-use and expire after 7 days, so only share them with the person you mean to invite.

What Resiboh does

Resiboh helps small sellers handle orders and payments. With Resiboh, you can:

  • upload a screenshot of a Messenger or chat order, a photo of a handwritten order slip, paste order text, or type an order yourself;
  • have Resiboh read the order and match items to the products you've saved;
  • create invoices you can share as an image, PDF or copied text, or print, including on thermal printers;
  • record payments (cash, GCash, Maya, bank or other), including downpayments, issue payment receipts, and void payments when needed;
  • see unpaid balances you still need to collect; and
  • manage pre-order batches, do end-of-day closing, and view sales reports.

Resiboh is a record-keeping and invoicing tool. It does not process payments or hold money for you or your customers.

Plans and limits

Each business is on one of three plans. Monthly limits reset on the 1st of each month (Philippine time).

We may change the plans' limits and features over time. If a change significantly reduces what you can do, we will try to let you know in advance.

Starter and Business subscriptions

Starter and Business are optional paid subscriptions. They are bought by the business owner in the Resiboh iPhone app and apply to that business: everyone on its team gets that plan, in the iPhone app and on the web.

  • Billing is handled by Apple. The price and billing period (monthly or yearly) are shown in the app before you subscribe, and you pay through your Apple ID.
  • Auto-renewal. Your subscription renews automatically at the end of each period unless you turn off auto-renew at least 24 hours before the period ends. You can manage or cancel it anytime in your iPhone's Settings → your name → Subscriptions. If you cancel, your plan stays active until the end of the period you already paid for.
  • Refunds are handled by Apple under Apple's policies. You can request one at reportaproblem.apple.com.
  • Deleting your account or business does not cancel the subscription. Please cancel it with Apple first.
  • If a subscription ends, the business goes back to the Free plan. Nothing is deleted: staff, payment options and batches you already have stay, but you can't add more until you're within the Free limits, and older reports and days are hidden until you upgrade again.
  • If we change the price, Apple will tell you before it applies, and you can cancel before the change takes effect.

You will never be charged unless you choose to subscribe.

Acceptable use

Please use Resiboh fairly and legally. You agree not to:

  • use Resiboh to sell, or to record sales of, illegal goods or services;
  • use Resiboh for fraud, such as making fake invoices or misleading your customers about amounts owed;
  • upload content that you don't have the right to use, or that contains other people's personal data you have no lawful basis to process;
  • upload content that is unlawful, harmful or abusive;
  • try to get around the monthly AI scan limit or any other limit, for example by creating extra accounts;
  • try to break, test or bypass our security, or access data that isn't yours;
  • copy, scrape, decompile or reverse engineer the Service, except where the law allows it;
  • use bots, scripts or other automated tools to use the Service in an abusive or excessive way; or
  • interfere with the Service or with other users' use of it.

Your content and customer data

You own your content

"Your content" means everything you put into Resiboh: your business details, products and photos, order screenshots and photos, customer details, orders, payments and anything else you upload or type. You keep ownership of all of it.

The permission you give us

You give us a limited permission (license) to store, copy, process and display your content only as needed to run, maintain, secure and improve the Service for you. For example, we need this permission to read your order images, create invoices, and show your product photos and payment QR codes on the invoices you share. This permission ends when your content is deleted from the Service, as described in our Privacy Policy.

Your customers' personal data

When you enter or upload your customers' names, phone numbers, addresses or order screenshots, you are the personal information controller of that data under the Data Privacy Act of 2012 (Republic Act No. 10173), and we process it on your behalf. That means:

  • you are responsible for collecting it lawfully and, where needed, getting your customers' consent;
  • you are responsible for telling your customers how you use their information; and
  • you are responsible for answering your customers' requests about their data. We will help you where we can.

Please also remember that product photos and payment QR code images are stored where anyone with the exact link can view them, because they appear on your invoices. See our Privacy Policy for details.

AI reading and accuracy

Resiboh uses text recognition (OCR) and AI to read screenshots, photos and text. These tools are helpful but not perfect. They can misread handwriting, pick the wrong product, get a quantity wrong, or miss an item.

  • Always review every order before confirming it. Resiboh asks you to check and confirm each order before an invoice is created.
  • You are responsible for the prices, quantities, discounts, fees and totals on your invoices, and for anything you send to your customers.
  • We are not responsible for losses caused by a reading mistake that you did not catch before confirming or sending an invoice.

Not BIR official receipts

Important: invoices and payment receipts made with Resiboh (including receipts numbered like AR-000001) are for your own records and for your customers' convenience. They are not BIR-registered official receipts or sales invoices, and they should not be issued or presented as such.

You are responsible for your own tax obligations and for following Bureau of Internal Revenue (BIR) rules, including registering your business and issuing official invoices or receipts when the law requires them. Resiboh does not give tax, accounting or legal advice. If you're not sure what applies to your business, please ask the BIR or an accountant.

Availability and changes

We work hard to keep Resiboh running smoothly, but we provide it on a best-effort basis. We don't guarantee that it will always be available, fast or free of errors. The Service may be unavailable at times, for example during maintenance, outages at our providers, or internet problems.

We are always improving Resiboh, so we may add, change or remove features. If we plan to remove a major feature or stop the Service, we will give you reasonable notice where we can, so you have time to get a copy of your data.

Because problems can happen, we recommend keeping your own copies of important records, such as invoices you've sent.

Third-party services

Resiboh works alongside services we don't own or control, such as GCash, Maya, banks, Facebook Messenger and other chat apps, and printers. We are not responsible for these services, how they work, their availability, or any payments or transactions made through them. Your use of them is governed by their own terms.

We also use service providers to run Resiboh. You can see the list in our Privacy Policy.

Our intellectual property

The Resiboh app, website, software, design, name, logo and brand belong to us or our licensors and are protected by law. These Terms give you a limited, personal, non-transferable right to use the Service as intended while you follow these Terms. They don't give you any other rights to our intellectual property, and you may not use our name or logo without our written permission.

Feedback

We love hearing ideas on how to make Resiboh better. If you send us feedback or suggestions, you agree that we may use them freely to improve our products, without paying you or owing you anything.

Suspension and termination

If you want to leave

You can stop using Resiboh anytime. You can delete your account yourself in the app under Settings → Your account → Delete account; this also deletes the businesses where you are the only owner, with all their data. See our Privacy Policy for details. We recommend asking for a copy of your data first.

If we need to suspend or close your account

We may suspend or close your account, or limit your access, if:

  • you seriously or repeatedly break these Terms;
  • we need to do so to protect other users, our providers or the Service; or
  • the law requires it.

Where it is reasonable and allowed, we will tell you before we act and give you a chance to fix the problem. If we close your account, your data will be handled as described in our Privacy Policy.

Sections of these Terms that by their nature should continue after your account ends will continue, including those on your content, disclaimers, limitation of liability, indemnity and governing law.

Disclaimers

To the extent allowed by law, the Service is provided "as is" and "as available". We don't make any promises or warranties, express or implied, that the Service will meet your needs, be uninterrupted or error-free, or that readings, totals or reports will be accurate. This includes implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the extent allowed by Philippine law:

  • we are not liable for indirect, incidental, special or consequential losses, such as lost profits, lost sales, lost data or damage to your reputation, arising from your use of, or inability to use, the Service; and
  • our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) PHP 1,000.

Nothing in these Terms limits any liability that cannot be limited under Philippine law, such as liability for fraud, bad faith or gross negligence.

Indemnity

You agree to protect and compensate us (indemnify us) against claims, losses, damages and reasonable costs, including legal fees, that come from:

  • your breach of these Terms;
  • content you upload, including your customers' personal data and any lack of a lawful basis or consent to process it;
  • invoices, receipts or other documents you send to your customers; or
  • your violation of any law, including tax and data privacy laws.

Apple App Store terms

If you downloaded the Resiboh iPhone app from Apple's App Store, these extra terms also apply to your use of the app:

  • Who the agreement is with. These Terms are between you and us only, not with Apple Inc. ("Apple"). We, not Apple, are solely responsible for the Resiboh app and its content.
  • Your licence. You may use the app only on Apple-branded devices that you own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions. The app may also be used by other accounts linked to you through Family Sharing or volume purchasing.
  • Support. We, not Apple, are solely responsible for maintaining and supporting the app. Apple has no obligation to provide any maintenance or support for it.
  • Warranty. If the app fails to meet any warranty that applies to it, you may tell Apple, and Apple will refund the price you paid for the app, if any. To the fullest extent the law allows, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to meet a warranty are our responsibility, to the extent these Terms don't exclude them.
  • Claims about the app. We, not Apple, are responsible for handling any claims by you or anyone else about the app or your use of it. These include product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  • Intellectual property. If anyone claims that the app or your use of it infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling and resolving the claim.
  • Legal compliance. You confirm that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Other services. You must follow any third-party terms that apply when you use the app, such as your mobile data provider's terms.
  • Apple as a third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept them, Apple has the right, and is deemed to have accepted the right, to enforce these Terms against you as a third-party beneficiary.

Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms or the Service will be brought only in the proper courts of [CITY], Philippines.

Before going to court, we'd much rather talk it through. Please email us at hello@resiboh.com first and we will try in good faith to resolve the issue.

Changes to these terms

We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date at the top. If we make a significant change, we will also tell you by email or inside the app before it takes effect. If you keep using Resiboh after the changes take effect, it means you accept the updated Terms. If you don't agree, you can stop using Resiboh and ask us to delete your account.

If any part of these Terms is found to be unenforceable, the rest will remain in effect. If we don't enforce a part of these Terms right away, it doesn't mean we've given up the right to do so later. You may not transfer your rights under these Terms without our written consent.
